The Company, aware that ethics is an essential element in the process of providing quality services and products to its customers, has adopted a Code of Ethics and disciplinary code of conduct which forms an integral part of the "Organization, Management and Control Model".
The administrators, in setting business objectives, and all employees and collaborators within the scope of their respective functions and responsibilities, are required to observe and ensure compliance with the general principles on which the Code is based.
Compliance with the Code of Ethics is expressly required not only of Employees and Collaborators, but also of all Third Parties who have relations with Canichepassione and/or who act for any reason on its behalf or whose actions can be attributed to it. Third Parties are required to download this Code of Ethics and Conduct from the Canichepassione websites or to request it in paper format.
This Code of Ethics is brought to the attention of the Company's personnel and compliance with it is set as a contractual condition in relationships with Third Parties, suppliers of goods and external services, including Agents

All Subjects, within the scope of their respective functions and responsibilities, must carry out their activities in accordance with the following general principles:
- Legality: compliance with Italian primary and secondary laws and those of any foreign countries in which Canicheassione operates, with the company's internal regulations, including those of the Code, as well as agreements/contracts/conventions and similar acts with third parties;
- Correctness: act in an absolutely correct manner both in external relations and within the company organization, avoiding any behavior contrary to the principles of loyalty, honesty, moral integrity, responsibility, mutual respect, and good faith;
- Transparency: to ensure, within the limits of one's own attributions and competences, the accuracy, completeness, uniformity, and timeliness of information;
- Diligence: to act with maximum commitment and professionalism in carrying out the tasks and duties assigned, within the limits of one's own responsibilities and competences;
- Confidentiality: any information, data or document acquired in the course of one's work activity is confidential and cannot be disclosed in any way, except in accordance with company procedures;
- Fairness: every behavior must be inspired by values of objectivity and impartiality, avoiding any kind of favoritism or discrimination;
- Responsibility towards Canichepassione: every behavior and activity must safeguard,
such as primary assets, the honorability, reputation, and image of the company in relation to the community
- Protection: in pursuing a balanced reconciliation of the heterogeneous interests involved, there is a duty to refrain from engaging in activities and behaviors that are even potentially harmful to the rights and interests of the company
- Professional ethics: the assignments and tasks entrusted must be carried out with the highest degree of professional and moral responsibility.

Respect for the aforementioned principles constitutes an essential element of work performance, also resulting in responsible behavior towards Canichepassione and third parties.
None of the Interested Parties is authorized to pursue any objective of the Company in violation of current laws, in particular by using the Company's or their own means and assets.
Any results achieved in violation—proven and documented from a legal point of view—of the rules set out by current legal provisions and by the Model will not be considered useful or valid for the purposes of bonuses and/or career advancement, and if already granted, these will be considered unlawfully received.
INTERNAL CONTROL AND CONFLICT OF INTEREST
It is our policy to promote at all levels a culture characterized both by awareness of individual and collective responsibilities, and by the development of a mindset oriented towards collaboration with the various control activities, due to the contribution to improving the efficiency of the activity.
All Interested Parties must avoid any and all situations or activities that could give rise to a conflict of interest, whether potential or actual, between their personal sphere—due to direct or indirect involvement through marriage, kinship, or affinity up to the fourth degree of collateral line and the second degree of direct line—and the company's activities, or that could in any other way interfere with their ability to make impartial decisions in the best interest of the Company and in full compliance with this Code.
By way of example, the following situations give rise to conflicts of interest:
1) own economic and financial interests and/or those of third parties to whom the Data Subjects are linked by marriage, kinship, or affinity, as well as business relationships with Third Parties (such as suppliers, commercial and financial partners, counterparties, consultants, contractors, service providers, coordinated and continuous collaborators, and third parties in general) who have relationships with Canichepassione, as well as those who act for any reason on behalf of Canichepassione or whose actions can be attributed to it;
2) use by the Interested Parties of the information acquired in the exercise of their duties and responsibilities in the pursuit of their own interests and/or those of third parties to whom they are connected by marriage, kinship and affinity (up to the fourth degree in the collateral line and the second degree in the direct line), as well as business interests;
3) carrying out work activities, of any kind, at clients, suppliers, competitors,
debtors, creditors and third parties in general;
4) acceptance of money, favors or benefits from persons (natural or legal) who are or intend to enter into business relations with the Company.
RELATIONS WITH EMPLOYEES AND THE RESPECT DUE TO THE PERSON
Human resources are an indispensable element for the existence of the company and, therefore, the dedication and professionalism of our Employees are essential values and conditions for achieving the objectives of our company.
All Employees and Collaborators must accept the ethical principles and standards of conduct set out in this Code, as well as be familiar with the company procedures that allow them to carry out their assigned work activities. They must also act to ensure the efficient and effective application of the provisions of this Code, promptly communicating any observations in this regard to the owner.

All Employees and Collaborators are entitled to fair, courteous, and respectful treatment of the person by the Designated Subjects, the Subjects Operating Sensitive Activities, and other Employees and colleagues in general.
Canichepassione therefore expects Employees, at every level, to cooperate in maintaining an atmosphere of mutual respect for the dignity, reputation, and honor of each individual within the company, and will therefore act to prevent insulting or defamatory interpersonal behavior.
In compliance with each person's responsibilities and the exercise of disciplinary power, should negligent behavior occur in the performance of duties by the
Employees and Collaborators, the Designated Subjects, the Operators of Sensitive Activities, other Employees, and other colleagues will be required to discuss the contents, avoiding disrespectful attitudes that could compromise interpersonal relationships.
In light of the importance of teamwork in managing complex business processes, each Employee and/or member of a work group must act with the utmost diligence to contribute both personally and on behalf of the functions and other company operational units to which they belong, while also committing to fostering a productive spirit of interpersonal collaboration.
Every Employee has the right to perform their work in an environment free from any kind of discrimination based on race, religion, sex, opinions, union or political affiliation.
Canichepassione requires that internal and external working relationships be based on the utmost
fairness and that no harassment occurs, meaning by this, by way of example:
1) the creation of an intimidating, hostile, or isolating work environment towards
individual workers or groups of workers,
2) the unjustified interference with the performance of others' work duties,
3) the hindrance to others' individual job prospects for mere reasons of personal competitiveness.
Canichepassione does not admit or tolerate sexual harassment, meaning – for example – as such:
A) the subordination of activities and behaviors relevant to the recipient's working life to the acceptance of his/her sexual favors,
B) proposals for private interpersonal relationships, despite an explicit or reasonably evident lack of appreciation, which have the capacity, with reference to the specificity of the situation, to disturb the peace of mind of the recipient with objective implications on their work performance;
C) any unwanted act or behavior, even verbal, of a sexual nature causing
offense to the dignity and freedom of the person who suffers it, or that is likely to create retaliation or a climate of intimidation against them.
Pursuant to Article 2105 of the Civil Code, all Employees are prohibited from engaging in activities that may, even potentially and/or indirectly, be in competition with those of our company
REGARDING THE HIRING OF EMPLOYEES
With a view to transparency and fairness, it is also established that the spouse, relatives and in-laws up to the fourth degree in the collateral line and up to the second degree in the direct line, or those who have business relationships with Employees of our company or with third parties who have legal relations with Canichepassione, may in turn be hired provided that the relevant hiring takes place in a different company unit from the one where the spouse, relative or in-law works, or in a different company function from the one that has business relations with these individuals or with third parties. Where the aforementioned relationship of marriage, kinship, affinity or business concerns a person assigned to the sales function and the person to be hired is a candidate for employment in another unit, it will be sufficient for the latter to be assigned to a production unit different from the one in which the spouse, relative, in-law already works, or to a production unit different from the one that has business relations with these individuals or with third parties.
Employees and/or collaborators must notify the Owner if they become aware of such situations that have not been promptly communicated
IN BUSINESS AFFAIRS
Canichepassione, in the management of business relations, is inspired by the principles of loyalty, fairness, transparency, efficiency, and openness to the market, as well as the principles set out in the Code.
Corrupt practices, unlawful favors, collusive behaviors, direct and/or indirect solicitations aimed at obtaining personal and career advantages for oneself, one's collaborators, or other parties, are prohibited for the Interested Parties and may constitute a breach of the primary obligations of the employment relationship or disciplinary offense or of the contractual relationship, with all consequences provided by law, the collective labor agreement and/or the existing contract: in this context, they will be sanctioned and the penalties may result in the immediate termination of the relationship established with our company for breach, as well as the request for compensation for damages arising therefrom.
Economic resources, as well as any other asset of our company, must not be used for illegal, improper, or even merely questionable purposes in terms of transparency
No type of benefit may be obtained through illegitimate favors of a financial nature or any other kind. Under no circumstances can the belief of acting in the interest of our company constitute a valid justification for adopting practices and behaviors that are in contrast with the principles set out in this Code.
Canichepassione, pursuing its own development in the markets through the offer of quality products and services and in compliance with all regulations protecting fair competition, recognizes the primary importance of consumer appreciation for the success of the company.
Employees must therefore observe, in managing relationships with consumers, all regulations and internal procedures as well as the utmost efficiency and courtesy. They must also adhere to truthfulness and clarity in commercial communications and provide comprehensive information about the Company's products and services.
USE OF COMPANY TRADEMARKS
Employees, Collaborators, and Third Parties are prohibited from using Company trademarks unless prior written request and consent have been obtained from the Owner of Canichepassione.
Collaborators are prohibited from retaining documentation, drafts, images, etc. related to requests for quotes and/or orders, after 10 days from the contractual deadline and delivery of materials.
OBLIGATION REQUIRED OF THIRD PARTIES
Third parties (such as suppliers, business and financial partners, contractual counterparts, consultants, service providers, collaborators, and third parties in general) who have relations with Canichepassione and/or who act for any reason on behalf of Canichepassione or whose actions can be attributed to it have a precise obligation to be familiar with the Code, which they must download from the website www.canichepassione,it or from the website www.apericane.com , before signing the formal document.
The obligation of Third Parties to comply with the principles of the Code must be reflected in a specific contractual clause. In the absence of a contractual relationship, for justified reasons, Third Parties must sign after downloading the Code of Ethics and the code of conduct from the websites mentioned above. All of this must be done before starting the relationship with the Company.In the event that the aforementioned Third Parties do not agree to include, in whole or in part, the clause regarding compliance with the Code in the document that formalized the contractual relationship in writing, the Owners and/or the Chief Executive Officers and/or the Attorneys who intend to sign the aforementioned document, or the Directors and Managers of the other interested companies, are required to inform, before the start of the contractual relationship, the Owner of Canichepassione, who will carry out the necessary evaluations and analyses, without prejudice to the application of the sanctions provided for in the aforementioned clause or declaration.

For every action and operation of Canichepassione, it must be possible to verify the decision-making, authorization, and execution process, with adequate documentary support. Consequently, the accounting records, which include all documentation related to company management, must be kept by the respective Managers of the other relevant company operational units in accordance with legal requirements, internal procedures, and the principles of transparency, clarity, and completeness that also inspire the Code, with the aim of ensuring a correct and truthful representation of the company's financial and asset situation and activities. It should be emphasized that compliance with the aforementioned principles regarding the keeping of accounting records does not concern only the work of Employees or Collaborators in administrative offices, but applies to every Employee in any company area in which they operate. For each operation, adequate supporting documentation of the activity carried out is kept on file in order to allow:
1) the easy accounting registration,
2) the identification of the different levels of responsibility,
3) the accurate reconstruction of the operation, also to reduce the probability of interpretative errors.
Each record must exactly reflect what is shown in the supporting documentation. It is the responsibility of each Employee to ensure that the documentation is easily traceable and organized according to logical criteria and, in any case, based on the company's procedures.

Employees of Canichepassione who become aware of omissions, falsifications, or negligence in the accounting or in the documentation on which the accounting records are based, are required to promptly report the proven facts to the Owner of Canichepassione.
CONFIDENTIALITY OBLIGATION, DATA AND COMMUNICATIONS
The activities of Canichepassione constantly require the acquisition, storage, processing, communication, and dissemination of information, documents, and other data relating to negotiations, commercial and financial operations, know-how, employees, collaborators, etc.
Canichepassione is committed to ensuring the correct application and proper handling of all information used (emails, contracts, deeds, reports, notes, drafts, drawings, photographs, images, web, etc.) in the course of its business activities.
Any information and any other material obtained in any way from our company or transferred to third parties is strictly the property of the company and must be considered confidential.
Such information may concern present and future activities, including news not yet released, information and announcements even if they are about to be disclosed.
The Company's databases may also contain personal data protected by privacy regulations and provisions relating to professional secrecy, data that by contractual agreements cannot be disclosed externally, and data whose inappropriate, untimely, or unauthorized disclosure could harm corporate interests. It is the duty of every Employee or Collaborator to ensure due confidentiality in the performance of their business activities.Canichepassione is committed to protecting information relating to its Employees and Collaborators, Third Parties (such as suppliers, business and financial partners, contractual counterparts, consultants, contractors, service providers, coordinated and continuous collaborators, and third parties in general), generated or acquired internally and in business relationships, and to preventing any misuse of such information.
The information, knowledge, and data acquired or processed by Employees and Collaborators during their work or due to their duties belong to our Company and may not be used, communicated, or disclosed without specific authorization from the Owner.
Without prejudice to the prohibition on disclosing information relating to our company, its organization, and the company's production methods or using such information in a way that could cause harm to it, each Employee concerned receives, in any case in compliance with current privacy regulations, from the Data Controller or the Data Processor, the information and instructions on the use of personal data and the IT tools made available by Canichepassioe and is also required to attend the prescribed training courses.
Also with respect to Third Parties who have relationships with Canichepassione and/or who act for any reason on its behalf or whose actions are attributable to it, all obligations required by the law protecting personal data are fulfilled by the Data Controller or the Data Processor.
USE OF COMPANY COMPUTER SYSTEMS
Personal computers, iPads, company cell phones, and communication systems and their related programs and/or applications entrusted to the Employee or Collaborator are, as is known, work tools and, therefore, must be properly safeguarded in accordance with the instructions given in application of privacy regulations and official secrecy, as well as internal regulations for the protection and defense of company assets, and with a commitment to promptly report any theft, damage, or loss of such tools to the Owner of Canichepassione.
Since in the event of violations of legislative, regulatory, and contractual rules, both Canichepassione and the individual or the Employee may be subject to sanctions, including criminal penalties, the Owner will verify, within the limits permitted by legal and contractual regulations, compliance with the rules and the integrity of their IT system, using, if deemed necessary, industry specialists.
To Employees:
1) it is not permitted to browse websites unrelated to the performance of assigned company duties, whether using personal emails but especially prohibited if using company emails (unless written authorization is provided by the Owner)
2) participation on social media is not allowed, for professional or representative reasons, using pseudonyms, nicknames or fake profiles;
3) Obligation to inform exclusively the Owner of any presence on social media of posts, tweets, etc. with defamatory and damaging content for the Company, posted by Employees or Third Parties, in written form, attaching links and URLs.
4) it is not permitted to store and/or disclose and/or reproduce IT documents of any kind (fiscal, web, images, etc.) and in any format (screenshot, copy/paste, etc.), especially if they are offensive and/or discriminatory in nature regarding sex, language, religion, race, ethnic origin, opinion, and union and/or political affiliation and/or concerning the Company;
4) It is strictly forbidden in any case to connect to or otherwise access sites whose content may constitute crimes against persons and animals, as included in the Decree (reduction or maintenance in slavery or servitude, child prostitution, child pornography and related crimes, human trafficking, purchase and sale of slaves, violence).
HEALTH AND SAFETY AT WORK
The operational management of Canichepassione is based on criteria of environmental protection and efficiency, pursuing the improvement of health and safety conditions at work.
Canichepassione must take care of the safety and health of its Employees as well as all third parties present in the workplace and is also responsible for all actions or omissions of its Employees and, therefore, for any damages caused by them to other Employees and/or Collaborators and/or third parties.
It is, therefore, necessary for all Interested Parties to strictly observe the provisions regarding safety and health.
Employees must use equipment, means of transport, and other work tools as well as safety devices correctly and appropriately. They must also report deficiencies and inefficiencies of the equipment, devices, and apparatus, as well as any other potential hazards they become aware of, acting directly in urgent cases, within the scope of their skills and abilities, to eliminate or reduce such deficiencies and/or hazards as quickly as possible.
We prohibit Employees or Third Parties present from removing or modifying, without written authorization from those possessing the necessary qualifications and powers, any safety, signaling, or control devices.
Employees are prohibited from carrying out, on their own initiative, operations or maneuvers that are not within their competence or that may compromise their own safety or that of other Employees or Third Parties present
Employees must undergo the medical examinations and health checks required of them by current regulations and provide an authorized copy to the Company.
